Terms of Service

Welcome to Framequery. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," "your") and Elly Software , a company registered in the United Kingdom ("Company," "we," "us," "our"), governing your access to and use of the Framequery video analysis platform and all related services (collectively, the "Service").

Please read these Terms carefully. By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. The Service

Framequery is a Software-as-a-Service (SaaS) platform that analyzes video content uploaded by users. The Service uses artificial intelligence to generate descriptive metadata, transcripts, and tags, allowing users to perform natural language searches of their video library.

2. Eligibility and Account Registration

  • Eligibility: To use the Service, you must be at least 18 years of age or the age of legal majority in your jurisdiction, and capable of forming a binding contract. The Service is not intended for individuals younger than this age.
  • Registration: You must register for an account to access the Service. You may register using a valid email address and password or by using a third-party authentication provider like Google. You agree to provide accurate, current, and complete information during registration and to keep this information updated.
  • Account Security: You are solely responsible for safeguarding your account credentials (password) and for all activities that occur under your account. You must notify us immediately at legal@framequery.com of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account.
  • Organizational Users: If you are using the Service on behalf of an organization, you may be able to assign roles such as "Admin" or "Viewer" to users within your organization. The account administrator is responsible for managing these roles and for the actions of all users associated with the organization's account.

3. Subscriptions, Fees, and Payment

  • Subscription Plans: The Service is offered on a recurring subscription basis, with plans available on a monthly or annual term. Your subscription grants you a specific quota of video processing hours for each billing period.
  • Billing and Payment: You agree to pay all applicable fees for your chosen subscription plan. All fees are payable in advance. By providing a payment method, you authorize us (through our third-party payment processor, Stripe) to charge your payment method on a recurring basis for the subscription fees, including any applicable taxes.
  • Payment Failures: If a recurring payment fails for any reason, your quota of video processing hours will not be renewed for the new billing period. Your access to the Service may be suspended or restricted until payment is successfully processed.
  • Upgrades and Downgrades:
    • Upgrades: If you upgrade your subscription plan, you will be charged a prorated amount for the remainder of the current billing cycle, and your new plan will take effect immediately.
    • Downgrades: If you downgrade your subscription plan, the new, lower rate will take effect at the beginning of your next billing cycle. You will retain access to your current plan's features until that time.
  • Price Changes: We reserve the right to change the pricing for our Service or introduce new subscription tiers in the future. We will provide you with at least thirty (30) days' prior notice of any price changes for existing subscription plans via email or an in-app notification.

4. Refund Policy

Our refund policy is as follows:

  • Monthly Subscriptions: Fees for monthly subscription plans are non-refundable.
  • Annual Subscriptions: If you cancel an annual subscription, you may be eligible for a prorated refund based on the unused portion of your annual term. To request a refund for an annual plan, please contact our support team at support@framequery.com.

5. User Content and Data

  • Content Ownership: You retain all ownership rights, title, and interest in and to the video files and any other content you upload to the Service ("User Content").
  • License to Elly Software: To operate the Service, you grant Elly Software a worldwide, non-exclusive, royalty-free license to host, temporarily, process, and analyze. This license is granted solely for the purpose of operating, providing, and improving the Service for you. This license terminates when your User Content is deleted from the Service.
  • Data Processing and Deletion:
    • The video files you upload are temporarily stored for processing and are automatically deleted from our active servers upon completion of the analysis.
    • The resulting metadata (descriptions, transcripts, tags) is retained to provide the search functionality of the Service for as long as your account is active.
    • In accordance with GDPR and other applicable data protection laws, you may request the deletion of your data at any time by contacting us. Upon termination of your account, we will delete your remaining metadata in accordance with our data retention policies, typically within 30 days, unless required by law to retain it for longer.

6. Acceptable Use Policy

You agree not to use the Service to:

  • Upload, process, or display any User Content that is illegal, fraudulent, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
  • Violate any applicable local, state, national, or international law or regulation.
  • Infringe upon or violate the intellectual property rights (including copyrights and trademarks) or any other rights of any third party.
  • Upload or transmit any viruses, malware, or other malicious code.
  • Interfere with or disrupt the integrity or performance of the Service or its servers.
  • Use the service in any way that is abusive or constitutes excessive or fraudulent use of your processing quota.

7. Intellectual Property

  • Our Intellectual Property: All rights, title, and interest in and to the Service itself, including its software, design, branding, and all underlying technology, are and will remain the exclusive property of Elly Software.
  • Copyright Infringement: We respect the intellectual property of others. If you believe that any content on our Service infringes upon your copyright, please notify us by providing our designated Copyright Agent with the information required by the U.K. Copyright, Designs and Patents Act 1988. Please send your notice to legal@framequery.com.

8. Termination

  • Termination by You: You may cancel your subscription and terminate these Terms at any time through your account settings or by contacting us.
  • Termination by Us: We reserve the right to suspend or terminate your account and access to the Service, without prior notice or liability, if you:
    • Breach these Terms.
    • Engage in any activity that is illegal or fraudulent.
    • Fail to pay your subscription fees.
    • Engage in any abuse or exploitation of the Service.
  • Effect of Termination: Upon termination, your right to use the Service will cease immediately. We will proceed with the deletion of your data as described in Section 5.

9. Disclaimers and Limitation of Liability

Warranty Disclaimer: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ELLY SOFTWARE, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE SERVICE.

Cap on Liability: IN NO EVENT SHALL THE AGGREGATE LIABILITY OF ELLY SOFTWARE FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO THE COMPANY DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless Elly Software and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; or (iii) your violation of any law or the rights of a third party, including any claim that your User Content caused damage to a third party.

11. Modification of Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect by sending an email to the address associated with your account or by posting a notice within the Service.

12. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts of the United Kingdom to resolve any legal matter arising from the Terms.

13. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Elly Software concerning the Service and supersede all prior agreements.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
